Terms of Service

1. Agreement to Terms

By accessing or using the Nutrical application, progressive web app, website, and related services (collectively, the "Service"), you enter into a legally binding agreement with Nutrical Labs, LLC ("Nutrical," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Service. By accessing the Service, you agree to these Terms. If you do not agree, you must immediately cease using the Service.

2. Medical Disclaimer (Not Medical Advice)

NUTRICAL IS NOT A MEDICAL DEVICE OR HEALTHCARE PROVIDER. The Service provides nutritional estimates and tracking tools for educational, informational, and personal use only. It is not intended to diagnose, treat, cure, or prevent any illness or disease. You should consult a qualified healthcare professional before altering your diet, beginning a fitness program, or relying on any information from Nutrical. Your reliance on any information provided by the Service is solely at your own risk.

3. Account Registration and Eligibility

You must be at least 16 years old to use the Service. When registering, you agree to provide truthful and complete information. You are solely responsible for maintaining the confidentiality of your account credentials (e.g., Google Sign-In) and are liable for any activity under your account. Notify us immediately of any unauthorized use.

4. Use of the Service and AI Limitations

You may use the Service only for lawful, personal, and non-commercial purposes.

• AI and Barcode Features: Nutrical uses third-party AI image recognition and barcode databases to estimate food content. We do not warrant the accuracy, completeness, or reliability of these estimations. You are entirely responsible for verifying food portions, ingredients, allergens, and nutrients before consumption.
• Prohibited Conduct: You agree not to: (a) reverse engineer, decompile, or copy any software associated with the Service; (b) use automated scrapers, bots, or data-mining tools; (c) attempt to circumvent any security measures; or (d) use the Service to upload harmful, malicious, or unlawful content.

5. Subscriptions, Billing, and Cancellation

Free and Paid Plans: Nutrical offers both free tiers and premium subscriptions. Premium subscriptions require payment via our authorized payment processor (Stripe).

Auto-Renewal: Subscriptions are billed on a recurring basis (e.g., monthly). To avoid charges for the next period, you must cancel your subscription at least 24 hours before the renewal date through your account settings or app store subscriptions.

Refunds: Payments are non-refundable, and we do not provide credits or refunds for partially used billing periods, except as mandated by applicable consumer protection laws.

6. User Content and License

You retain full ownership of the data, food images, recipes, and inputs you submit ("User Content"). By submitting User Content, you grant Nutrical a non-exclusive, worldwide, royalty-free license to host, store, use, and process that content strictly for operating and managing the Service for you.

7. Intellectual Property Rights

Nutrical and its licensors own all rights, title, and interest in the Service, including all source code, algorithms, graphical interfaces, logos, and trademarks. You may not duplicate, modify, or distribute our intellectual property without express written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE ERROR-FREE, SECURE, ACCURATE, OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NUTRICAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR CUMULATIVE LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE PAST (12) MONTHS.

10. Dispute Resolution and Arbitration

Any disputes arising under these Terms shall be governed by the laws of the jurisdiction where Nutrical Labs, LLC is headquartered, without regard to its conflict of law principles. Any dispute shall be resolved through mandatory, binding, confidential arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

11. Modifications to Terms

We may modify these Terms at any time. We will provide formal notice of material changes (e.g., via email or an in-app alert). Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
